1. Agreement to Terms and Parties
By accessing and using this Snooker Club Management Software (the 'Product' or 'Service'), you accept and agree to be bound by this Agreement. This contract ('Agreement') is between you ('Buyer') and Paddle (the Merchant of Record), and also incorporates the terms from **CueDesk** (the 'Supplier' or 'Licensor'). You purchase the Product from Paddle, but the Product is licensed to you by CueDesk. These terms apply to all users.
2. Consumer Right of Withdrawal (Digital Content)
The Product is digital content which is immediately made available upon purchase. By acquiring or starting to use the Product, **you consent to the immediate performance of this Agreement and acknowledge that you will lose your statutory right of withdrawal/cancellation** (typically 14 days) once the download, streaming, or applicable transmission of the digital content has begun or the service has been used. However, you retain rights under our separate, express 14-day Refund Policy for initial purchases.
3. Service Description and Data Isolation
The Service provides a proprietary multi-center management system for snooker clubs. The Club Owner agrees that while they retain global administrative oversight, all financial and operational data is segregated by center within the database. Staff access is strictly restricted solely to the center to which they are assigned, governed by the Role-Based Access Control (RBAC) rules defined by the Club Owner.
4. User Accounts, Security, and Responsibility
You are responsible for maintaining the confidentiality of your account credentials. You agree to accept full responsibility for all activities that occur under your account. You must notify CueDesk immediately upon becoming aware of any breach of security or unauthorized use. CueDesk is not responsible for non-receipt of the Product due to inaccurate information provided by you during the Transaction.
5. Subscription, Billing, and Paddle's Role
Subscriptions are offered on a recurring basis. All payments are processed by our authorized reseller, **Paddle**. By subscribing, you agree to Paddle's checkout terms. CueDesk (the Supplier) reserves the right to modify subscription prices, and Paddle will charge your chosen payment method for any paid transactions, including applicable taxes. Failure to pay will result in the suspension or termination of your access to the Service. There are no refunds on unused subscription periods after the guarantee period.
6. Termination and Suspension of Services
CueDesk or Paddle may terminate this Agreement and/or preclude your access to the Services without notice if you fail, or are suspected to have failed, to comply with any provision of this Agreement, or if fraudulent activities are suspected. Upon termination, you will remain liable for all amounts due up to and including the date of termination. Termination of the Service will not affect any rights accrued thereunder or the Product you have already acquired.
7. Responsibilities and Limitation of Liability
CueDesk disclaims any and all warranties, express, implied or statutory regarding the Services to the full extent permitted by law. In no event will CueDesk, its partners, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use or inability to use the Service.
8. Governing Law and Dispute Resolution
If you are a Consumer resident in the **United States**, this Agreement is governed by the laws of the State of **New York**, and disputes shall be settled by binding arbitration in New York, NY. For **all other Consumers**, this Agreement is governed by the laws of **England**, except to the extent amended by any mandatory provisions of your local country's law. The law known as the United Nations Convention on the International Sale of Goods is specifically excluded from application.
